Business use and authority
AskAgain is offered only to businesses and persons acting in a professional capacity. The person accepting these terms confirms authority to bind the named customer. Consumer contracts are not offered.
Service and third-party AI output
AskAgain submits controlled measurement prompts to configured third-party AI APIs and analyzes their responses. AI output is probabilistic, can be inaccurate or unavailable, and is evidence about provider responses at a point in time—not professional advice, a factual guarantee, or a promise of future visibility. The customer remains responsible for decisions based on reports.
Accounts and acceptable use
The customer must keep credentials secure, assign access only to authorized users, and use the service lawfully. It must not submit unlawful content, special-category personal data, secrets unnecessary for measurement, malware, or content that violates third-party rights or provider policies; probe or bypass security; overload the service; or resell access unless an agency arrangement allows it.
Fees, tax, and changes
Monthly EUR prices are stated excluding VAT. Paid access starts only after verified payment. Upgrades can create an immediate prorated invoice; reductions take effect at renewal unless explicitly stated otherwise. Failed payment stops new processing while historical results remain readable under the retention policy.
Customer content
The customer retains rights in submitted content and grants VHUG Technologies OÜ the limited rights needed to host, transmit, analyze, secure, and support it. The customer warrants that it has the necessary rights and lawful basis for submitted content and instructions.
Availability and changes
The service is provided with commercially reasonable care but without a guaranteed uptime unless a separate written service level agreement applies. Models, APIs, prices, and features can change. Material adverse contractual changes will be announced in advance where reasonably possible.
Liability allocation
To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, lost profit, or lost business. VHUG Technologies OÜ’s aggregate liability for ordinary claims is capped at the fees paid for the service during the 12 months before the event. The cap and exclusions do not apply where prohibited by law, including intentional misconduct, gross negligence, or non-excludable data-protection liability.
Third-party claims
The customer will defend and indemnify VHUG Technologies OÜ against third-party claims caused by unlawful customer content, instructions, or unauthorized use, subject to prompt notice, reasonable cooperation, and customer control of the defense without settlements that impose admissions or obligations on VHUG Technologies OÜ.
Term and termination
Subscriptions renew monthly until cancelled. Cancellation takes effect at the paid period end unless an immediate project action is selected. Data access and deletion then follow the published cancellation and retention policy. Material breach may justify suspension or termination after notice where cure is possible.
Law and disputes
Estonian law governs these B2B terms, excluding conflict-of-law rules. The parties should first attempt to resolve disputes directly; failing that, courts competent for Tallinn, Estonia have jurisdiction, subject to mandatory law.
